1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and A1 AI Agents Inc., operating as Kuberan.AI ("Kuberan.AI," "we," "us," or "our"), a company incorporated under the laws of Canada. By accessing or using the Kuberan.AI platform, including all associated applications, websites, and services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are using the Service on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Kuberan.AI is a cloud-based accounting and practice management platform designed for accounting professionals and small businesses. The Service includes, but is not limited to, the following features:

• Cloud Accounting (Kuberan Books): General ledger, chart of accounts, journal entries, invoicing, bill management, bank reconciliation, and financial reporting with support for both cash and accrual accounting methods.
• AI-Powered Document Processing: Automated extraction and categorization of financial documents including bank statements, invoices, bills, and receipts using artificial intelligence.
• Payroll: Employee management, pay run processing, automated tax calculations (CPP, EI, federal and provincial income taxes), T4/T4A generation, Record of Employment, and CRA remittance tracking.
• Mileage Tracking: GPS-based trip recording, business and personal classification, vehicle management, and tax-ready mileage reports.
• Client Portal: Branded client-facing portals with secure document sharing, invoice viewing, online payments, task management, messaging, and appointment booking.
• Contacts and CRM: Contact management, custom fields, tagging, sales pipeline tracking, and activity logging.
• Communication Tools: Business phone services with voicemail and call routing, two-way SMS messaging, email integration, and bulk communication campaigns.
• Scheduling and Tasks: Calendar management, appointment scheduling, automated reminders, and task boards.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes to the Service.

3. Account Registration and Security

To use the Service, you must create an account by providing accurate, complete, and current information. You agree to update your information promptly to keep it accurate.

You are responsible for:

• Maintaining the confidentiality of your account credentials, including your password.
• All activities that occur under your account, whether or not you authorized them.
• Notifying us immediately at info@kuberan.ai if you become aware of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account if we reasonably believe that your account has been compromised or is being used in violation of these Terms.

You may invite team members to your workspace. You are responsible for the actions of all users you invite and for ensuring they comply with these Terms.

4. Subscription and Billing

4.1 Subscription Plans

The Service is offered on a subscription basis. Details of available plans, features, and pricing are published on our website and within the application. We reserve the right to change pricing with 30 days' notice to existing subscribers.

4.2 Payment Processing

All payments are processed securely through Stripe, a PCI-compliant payment processor. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis according to your selected billing cycle (monthly or annual). You agree to provide valid and current payment information.

4.3 Credit Packs for AI Operations

Certain AI-powered features, including document processing and smart categorization, consume credits. Credits are available for purchase in packs and are non-refundable. Unused credits do not expire as long as your subscription remains active. If your subscription is cancelled or terminated, unused credits will be forfeited 30 days after the end of your billing period.

4.4 Refunds

Subscription fees are generally non-refundable. If you believe you have been charged in error, please contact us at info@kuberan.ai within 30 days of the charge, and we will review your request on a case-by-case basis.

4.5 Taxes

All fees are exclusive of applicable taxes (including HST/GST), which will be added to your invoice as required by law.

5. User Data and Content Ownership

You retain full ownership of all data, documents, financial records, and other content that you upload, input, or generate through the Service ("User Content"). We do not claim any ownership rights over your User Content.

By using the Service, you grant us a limited, non-exclusive license to access, process, store, and display your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your User Content or close your account.

You are solely responsible for ensuring that your User Content does not violate any applicable laws, regulations, or third-party rights. You represent and warrant that you have all necessary rights and permissions to upload and process your User Content through the Service.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable local, provincial, national, or international law or regulation.
• Upload, transmit, or store any content that is unlawful, fraudulent, defamatory, obscene, or otherwise objectionable.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or connected networks.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Use the Service to transmit spam, unsolicited communications, or bulk messaging in violation of applicable anti-spam laws (including Canada's Anti-Spam Legislation).
• Use automated scripts, bots, or other means to access the Service for any purpose without our prior written consent.
• Share your account credentials with unauthorized third parties or allow others to access your account.
• Use the Service to process data or transactions for illegal activities, including money laundering, tax evasion, or fraud.

We reserve the right to investigate and take appropriate action against any violations of this section, including suspending or terminating your account and reporting violations to law enforcement authorities.

7. AI-Powered Features Disclaimer

The Service uses artificial intelligence and machine learning technologies to automate document processing, data extraction, transaction categorization, and other tasks. While we strive for accuracy, you acknowledge and agree that:

• AI-extracted data may contain errors, omissions, or inaccuracies. The accuracy of AI processing depends on factors including document quality, format, and complexity.
• You are solely responsible for reviewing, verifying, and approving all AI-generated outputs before relying on them for financial reporting, tax filing, or other business purposes.
• AI categorization suggestions are provided as recommendations only and do not constitute financial, tax, or legal advice.
• We do not guarantee any specific level of accuracy for AI-powered features.
• Your financial data processed by AI features is used solely for the purpose of providing the Service and is not used to train general-purpose AI models.

You agree to hold Kuberan.AI harmless from any losses, damages, or liabilities arising from your reliance on AI-generated outputs without independent verification.

8. Third-Party Integrations

The Service integrates with various third-party services to provide functionality. By using these integrations, you agree to comply with the terms and policies of the respective third-party providers:

• Plaid: Used for secure bank account connections and transaction retrieval. Your use of Plaid is subject to the Plaid End User Privacy Policy.
• Stripe: Used for subscription billing, payment processing, and enabling online invoice payments. Subject to the Stripe Services Agreement.
• SendGrid: Used for transactional and marketing email delivery. Subject to SendGrid's terms of service.
• Twilio: Used for SMS messaging and phone services, including business phone numbers, voicemail, and call routing. Subject to Twilio's terms of service.

We are not responsible for the availability, accuracy, or performance of third-party services. Your use of third-party integrations is at your own risk. If a third-party service modifies or discontinues its offering, the corresponding features within Kuberan.AI may be affected.

9. Data Processing and Storage

Your data is stored and processed using the following infrastructure:

• Database: MongoDB Atlas, a managed cloud database service, is used to store your account information, financial records, and application data.
• Document Storage: Uploaded documents (bank statements, invoices, receipts, and other files) are stored securely in Amazon Web Services (AWS) S3 with encryption at rest.

We implement industry-standard security measures to protect your data, including encryption in transit (TLS/SSL), encryption at rest, access controls, and regular security assessments. For more details on how we handle your data, please see our Privacy Policy.

10. Intellectual Property

The Service, including its software, design, logos, trademarks, documentation, and all related intellectual property, is owned by A1 AI Agents Inc. and is protected by Canadian and international intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during the term of your subscription. This license does not include any right to:

• Modify, copy, distribute, or create derivative works based on the Service.
• Use any data mining, robots, or similar data gathering methods on the Service.
• Sublicense, resell, or commercially exploit the Service without our prior written consent.

"Kuberan.AI," "Kuberan Books," the Kuberan.AI logo, and all related names, logos, and slogans are trademarks of A1 AI Agents Inc. You may not use these trademarks without our prior written consent.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
• In no event shall A1 AI Agents Inc., its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
• Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless A1 AI Agents Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service or any activity under your account.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Your User Content or any claim that your User Content infringes the rights of a third party.
• Any inaccuracies in financial data, tax filings, or reports generated using the Service.

13. Termination

You may cancel your subscription and close your account at any time through the account settings within the Service or by contacting us at info@kuberan.ai.

We may suspend or terminate your access to the Service at any time, with or without cause, including but not limited to:

• Violation of these Terms or the Acceptable Use Policy.
• Non-payment of subscription fees after reasonable notice.
• Conduct that we reasonably believe is harmful to other users, third parties, or the integrity of the Service.
• Extended periods of account inactivity (12 months or more).

Upon termination, your right to access the Service ceases immediately. We will retain your data for a period of 30 days following termination, during which you may request an export of your data. After this period, your data will be permanently deleted in accordance with our Privacy Policy.

14. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or the Service, you agree to first attempt to resolve the dispute informally by contacting us at info@kuberan.ai. If the dispute cannot be resolved informally within 30 days, either party may pursue formal resolution in accordance with the governing law provisions below.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Effective Date" at the top of this page.
• Notify you via email or through a prominent notice within the Service at least 15 days before the changes take effect.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal proceedings arising out of or relating to these Terms shall be brought exclusively in the courts located in the Province of Ontario, Canada, and you consent to the personal jurisdiction of such courts.

17. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and A1 AI Agents Inc. regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
• Force Majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, power failures, or internet disruptions.
